How to Register a Business in Hyderabad: 2026 Guide
To register a business in Hyderabad, you choose a legal structure, register the entity, take the tax registrations you need, add employer and local registrations as you grow, and then stay compliant. Your structure decides which registration comes first. A company or LLP is incorporated online with the Ministry of Corporate Affairs (MCA), a partnership firm is registered with the Telangana Registration and Stamps Department, and a sole proprietorship has no single registration at all.
The rules and figures below are stated as of November 2026.
Key Takeaways
- Choose your structure first. It decides who you register with, which form you file and what you must do afterwards.
- Companies register through SPICe+ and LLPs through FiLLiP on the MCA portal. A Telangana partnership firm registers with the District Registrar for a fee of ₹200 plus a ₹45 user charge.
- In Telangana, the GST registration threshold for goods suppliers is ₹20 lakh, not ₹40 lakh, because the state is excluded from the higher limit.
- Under the Code on Social Security, 2020, EPF applies from 20 employees and ESIC from 10 persons employed.
- Registration is only the start. A new company must file INC-20A within 180 days of incorporation, and cannot commence business until it does.
Step 1: Choose your business structure
Your structure sets your liability, regulator and paperwork. The five common options:
| Structure | Registered with | Governing law | Who can own it |
|---|---|---|---|
| Sole proprietorship | No single registration | No dedicated statute | One individual |
| Partnership firm | District Registrar (Registrar of Firms), Telangana | Indian Partnership Act, 1932 | Two or more partners |
| LLP | MCA, through FiLLiP | LLP Act | At least 2 partners, with 2 designated partners who are individuals |
| One Person Company (OPC) | MCA, through SPICe+ | Companies Act, 2013 | One natural person who is an Indian citizen |
| Private limited company | MCA, through SPICe+ | Companies Act, 2013 | At least 2 directors and 2 to 200 members |
As a rough guide, a private limited company suits founders who plan to raise equity. An LLP suits partner-run or professional businesses that want limited liability with lighter compliance, and an OPC suits a solo founder who wants limited liability. For example, two founders building a software product in Hyderabad who plan to raise equity would usually choose a private limited company and file SPICe+. For a full side-by-side view of tax, audit and filings, read the guide to private limited vs LLP vs OPC.
Step 2: Register the entity
Private limited company or OPC: SPICe+
A company is incorporated through SPICe+, the MCA's integrated web form. You reserve the name in SPICe+ Part A, and a reserved name is valid for 20 days from approval under section 4(5). You can extend that period by paying the fees set out in Rule 9A of the incorporation rules.
Subscribers and directors sign the filing with a Digital Signature Certificate (DSC). At least one director must have stayed in India for 182 days or more in the financial year (section 149(3)). SPICe+ also links other registrations to the incorporation filing, so check the current list of linked services on the MCA portal when you file.
On cost, the MCA charges no incorporation fee where authorised capital is ₹15 lakh or less. Stamp duty is still payable, and SPICe+ calculates it for you. For the step-by-step filing, see the guide to the private limited company registration process.
An OPC follows the same SPICe+ route with one member. Since 1 April 2021, NRIs can also form an OPC, and an OPC can convert to a private or public company at any time, according to the MCA's OPC FAQ.
LLP: FiLLiP
You can reserve an LLP name separately through RUN-LLP, for a fee of ₹200, or include name reservation in the incorporation form itself. FiLLiP is the single form for incorporating an LLP, and it can also carry DIN applications for a limited number of designated partners.
At least one designated partner must be resident in India as defined in the LLP Act. The residency test was relaxed by the LLP (Amendment) Act, 2021, so confirm the current test before you file.
The incorporation fee depends on the partners' contribution, so check it with the MCA fee calculator. After incorporation, the LLP Agreement must be filed in Form 3 within 30 days. The guide to the LLP registration process walks through each stage.
Partnership firm: Telangana Registrar of Firms
In Telangana, a partnership firm is registered with the District Registrar, who acts as Registrar of Firms under the Indian Partnership Act, 1932. You apply and pay online, then send the original documents by post or courier. The fee is ₹200 plus a ₹45 user charge.
Registration of a firm is optional, but it matters. Under section 69 of the Partnership Act, an unregistered firm cannot sue to enforce its contract rights.
Sole proprietorship
A sole proprietorship is a business owned and run by one individual, with no legal identity separate from the owner. There is no single registration that creates a sole proprietorship. In practice, proprietors often use registrations such as GST, Udyam or Shops and Establishments as proof that the business exists.
Step 3: Tax registrations
Your business will need a PAN in its own name; a proprietor uses a personal PAN. You also need a TAN if you deduct tax at source, for example on salaries.
Since 1 April 2026, income tax is governed by the Income-tax Act, 2025, and "tax year" replaces "assessment year". Income earned up to 31 March 2026 is still taxed under the 1961 Act.
GST registration in Telangana
The ₹40 lakh goods limit often quoted for India does not apply here. Notification 10/2019-Central Tax excludes intra-State suppliers in Telangana from that higher limit. So the standard ₹20 lakh threshold under section 22(1) of the CGST Act applies.
| Type of supply (Telangana) | Aggregate turnover threshold |
|---|---|
| Goods | ₹20 lakh |
| Services | ₹20 lakh |
| Mixed goods and services | ₹20 lakh |
Some businesses must register whatever their turnover. Section 24 of the CGST Act covers cases such as inter-State taxable supplies, casual taxable persons, those liable under reverse charge, e-commerce operators and suppliers selling through an operator that collects tax at source.
There is one carve-out for small online sellers. Since 1 October 2023, a goods seller on an e-commerce platform is exempt from registration if it stays within the threshold, makes no inter-State supply, sells in one State only, holds a PAN and obtains an enrolment number from the GST portal. You can also register voluntarily below the threshold under section 25(3).
You apply on the GST portal. In Telangana, verification is risk-based: you get either an OTP authentication link or a link to book a biometric appointment at a GST Suvidha Kendra, according to a GSTN advisory dated 5 October 2024. For documents, timelines and the revised application form, see the guide to the GST registration limit in Telangana.
IEC for importers and exporters
If you import or export, you need an Importer-Exporter Code. The IEC number is your business's PAN, and the application is made on the DGFT portal. DGFT also requires an annual update of IEC details, so check the current window on the DGFT portal.
Udyam (MSME) registration
Udyam is the MSME registration, made online on the Udyam Registration portal. It classifies your business as micro, small or medium based on investment and turnover. Check the current classification limits on the portal before you apply.
Step 4: Employer and local registrations
- Telangana Shops and Establishments: registration under the Telangana Shops and Establishments Act, 1988 is made online through the Labour Department's entrepreneur portal. Some small establishments may be partly exempt, so check the current position on the portal rather than assuming no registration is needed.
- Telangana Professional Tax: administered by the Commercial Taxes Department under the Telangana Tax on Professions, Trades, Callings and Employments Act, 1987. Employer registration (for deducting tax from salaries) and the business's own enrolment are separate.
- EPF and ESIC: the Code on Social Security, 2020, in force from 21 November 2025, applies EPF to establishments with 20 or more employees and ESIC to establishments with 10 or more persons employed.
Step 5: Compliance after you register
Registration starts a calendar of filings, and missed early deadlines carry penalties.
For a private limited company, the key first-year items under the Companies Act, 2013 are:
- Hold the first board meeting within 30 days of incorporation.
- Have the board appoint the first auditor within 30 days.
- Have a registered office in place from the 30th day after incorporation.
- Issue share certificates to subscribers within 2 months.
- File INC-20A within 180 days. Until it is filed, the company cannot commence business or exercise borrowing powers, and the penalty is ₹50,000 on the company.
- Hold the first AGM within 9 months of the end of the first financial year (OPCs are exempt).
An LLP has a lighter but fixed cycle: Form 11 by 30 May and Form 8 by 30 October each year. Once you hold a GST registration, regular GST returns also become due. The full timeline is in the checklist of compliance after company incorporation.
Registration checklist by business type

Frequently Asked Questions
Which registration do I need first?
Your entity registration comes first if you are forming a company, LLP or partnership firm, because later registrations ask for the entity's details. A company files SPICe+, an LLP files FiLLiP, and a Telangana partnership firm applies to the District Registrar. A sole proprietor has no entity registration, so the first step is usually GST, Udyam or Shops and Establishments.
Do I need GST registration to start?
Not always. As of November 2026, the threshold in Telangana is ₹20 lakh for goods, and also for services and mixed supplies. You must register regardless of turnover in section 24 cases, such as inter-State taxable supplies, and you may register voluntarily earlier.
How much does it cost to register a business in Hyderabad?
Government fees depend on the structure. As of November 2026, the MCA charges no incorporation fee for companies with authorised capital of ₹15 lakh or less, though stamp duty applies. An LLP name reservation costs ₹200 with an incorporation fee based on contribution, and a partnership firm costs ₹200 plus a ₹45 user charge. DSCs and any professional fees are extra.
Can I register online?
Mostly. SPICe+, FiLLiP, GST and Telangana Shops and Establishments applications are all made online. A partnership firm applies online but posts its original documents, and some GST applicants are called for biometric verification at a GST Suvidha Kendra.
